1. Acceptance of Terms

By accessing and using the Bizvino Apps website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Bizvino Apps provides software development services including but not limited to web application development, mobile app development, AI integration, e-commerce solutions, and IT consulting. The specific scope of services will be defined in individual project agreements.

3. Project Agreements

All projects will be governed by a separate project agreement or statement of work that outlines the scope, timeline, deliverables, and payment terms. These project agreements form part of these Terms of Service.

4. Intellectual Property

Client Ownership

Upon full payment, the client will own all intellectual property rights to the custom code and designs created specifically for their project, unless otherwise specified in the project agreement.

Our Tools & Libraries

We retain ownership of our proprietary tools, frameworks, and libraries that may be used in the development process. The client receives a perpetual, non-exclusive license to use these components within their project.

5. Payment Terms

• Payment terms will be specified in individual project agreements
• Standard payment structure: 30% upfront, 40% at mid-project, 30% upon completion
• All prices are quoted in South African Rand (ZAR) unless otherwise specified
• Late payments may incur interest at 2% per month
• Work may be paused on overdue accounts

6. Client Responsibilities

The client agrees to:

• Provide timely feedback and approvals
• Supply all necessary content, images, and materials
• Designate a primary point of contact
• Make payments according to the agreed schedule
• Review and test deliverables within the specified timeframe

7. Warranties & Limitations

We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period after project completion for bug fixes related to the agreed scope.

We do not warrant that our services will be uninterrupted, error-free, or that defects will be corrected immediately. Our total liability shall not exceed the total amount paid by the client for the specific project.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the agreement.

9. Termination

Either party may terminate a project agreement with 30 days written notice. In the event of termination:

• The client will pay for all work completed up to the termination date
• All completed deliverables will be transferred to the client
• Any advance payments for uncompleted work will be refunded proportionally

10. Limitation of Liability

Bizvino Apps shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including but not limited to loss of profits, data, or business opportunities.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of the Western Cape, South Africa.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.
